MERGERS AND ACQUISITIONS

Our lawyers have significant expertise and experience in representing clients in transactions disputes and lawsuits involving sales and acquisitions of businesses, and corporate mergers, particularly the so-called "freeze-out", or "squeeze-out" merger.  We have represented corporate Boards of Directors and, on other occasions, dissenting shareholders in litigation resulting from such mergers.  We acted as Missouri counsel, working with one of the largest New York law firms, representing an investor in acquiring control of a Missouri-based airline and litigating the application of the 1986 Missouri anti-takeover statute.  In February of 1988, after a six-day trial, we obtained judgment for a minority shareholder in excess of $1.5 million for shares in a corporation that was a party to a merger plan which had provided less than half that amount for the shareholder's interests.  Our lawyers handling these cases are knowledgeable about the corporation law, accounting and financial issues that are frequently critical to the outcome.  We are proud of the number of referrals we have received from lawyers, accountants and others who have participated in these cases with our firm and our clients.
